A. Blueprint Phase (Initial Stage)

The project commences with a focused "Blueprint Phase" dedicated to laying the groundwork for the first physical community and the digital infrastructure.

  • Core Team: During this initial phase, the project initiator and key early contributors will guide the design and setup process. The team's composition may evolve, sourcing talent organically post-launch. This team's role is strictly foundational and transitional, focused on realizing the initial blueprint before handing governance to the community.
  • Responsibilities: The core team's primary responsibilities include finalizing the blueprint design, overseeing smart contract development and audits, establishing the transparency website and initial communication channels, managing the values-alignment questionnaire and airdrop, securing initial liquidity contributions, managing resources transparently, initiating research (e.g., Cortical Labs), and forming the initial Ethics Board.

B. DAO Governance (Post-Blueprint Phase)

Upon reaching pre-defined activation milestones, governance transitions fully to the Luminary Nexus DAO, a Decentralized Autonomous Organization controlled by LNX token holders.

  • Activation Trigger: The transition to full DAO control will occur automatically when a combination of specific, pre-defined milestones are met. The initial proposed trigger requires achieving both of the following:
    1. Funding Milestone: The Community Treasury reaching a specific value measured in a stable, widely recognized unit (initially proposed as $1,000,000 USDC, acknowledging that the DAO can later choose to use other stablecoins).
    2. Infrastructure Milestone: Completion of foundational infrastructure for the blueprint community (e.g., land acquired, essential utilities operational - specific sub-milestones to be detailed in the Roadmap).
  • Framework: The DAO utilizes the OpenZeppelin Governor framework on Polygon.
  • Voting Mechanism: Token-weighted voting (1 LNX = 1 vote).
  • Proposal Process:
    • Individual Threshold: Any address holding at least 0.1% of the total LNX supply can create a governance proposal.
    • Group Proposal Mechanism: A proposal can also be initiated via a smart contract requiring multiple signatures from different wallets that collectively hold at least 0.1% of the total LNX supply.

  • Voting Period: The initial default voting period for proposals is 7 days.

  • Time Lock: A mandatory time lock of 72 hours (3 days) is implemented between the approval of a proposal and its execution on-chain.
  • DAO Parameter Adjustments: All initial parameters can be adjusted later by the DAO itself through the governance process.
  • DAO Responsibilities: The DAO holds ultimate authority over the community treasury and the ongoing evolution of the Utopia Community ecosystem.

C. Membership

  • Initial Membership (Airdrop): The founding members will be identified through the values-alignment questionnaire and receive an initial distribution of LNX tokens via a dedicated airdrop contract.   • Joining After Launch: Formal pathways for joining the community after the initial airdrop (e.g., application processes, contribution rewards, referral systems) will be defined and managed exclusively by the DAO once it is active. Acquiring LNX on the open market grants DAO voting rights but does not automatically confer full "community membership" status, which will be defined by the DAO.
